SSE, Scottish Hydro Electric Power Distribution, Scottish Hydro Electric Transmission and Southern Electric Power Distribution Plan to Raise USD11.32 Billion in Public Offering of Notes

Deal Summary

SSE plc, an integrated energy company, Scottish Hydro Electric Power Distribution plc, a power distribution company, Scottish Hydro Electric Transmission plc, a power transmission company and Southern Electric Power Distribution plc, a power distribution company, intend to issue euro medium term notes for gross proceeds of up to EUR10 billion (USD11.32 billion) from time to time in one or more tranches.

The notes will be issued on a fixed rate and floating rate basis. The notes will be issued on a syndicated or non-syndicated basis. The notes will be issued in series (series) having one or more issue dates and on terms otherwise identical (or identical other than in respect of the first payment of interest), the notes of each series being intended to be interchangeable with all other notes of that series. Each series may be issued in tranches (tranche) on the same or different issue dates. The specific terms of each tranche will be completed in the final terms.
